Terms of Service
Last updated: July 16, 2026
1. Acceptance of Terms
These Terms of Service ("Terms") form a binding agreement between you and LaunchMarket governing your access to and use of the LaunchMarket website, applications, and related services (together, the "Platform"). By creating an account, browsing the Platform, or using any of its features, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, you must not use the Platform.
2. The LaunchMarket Marketplace
LaunchMarket is an online marketplace that connects Clients who need work done with independent Specialists who offer professional services. LaunchMarket provides the venue — listings, search, messaging, proposals, contracts, and payment facilitation — but is not a party to the agreements formed between Clients and Specialists. Each contract for services is entered into directly between the Client and the Specialist, and each party is solely responsible for performing its obligations under that contract. LaunchMarket does not employ Specialists, does not supervise or control their work, and does not guarantee the quality, safety, or legality of services offered or the ability of Clients to pay.
3. Accounts and Eligibility
You must be at least 18 years old and able to form a legally binding contract to use the Platform. When registering, you agree to provide accurate, current, and complete information and to keep it up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us promptly of any unauthorized use of your account. You may not transfer or sell your account, create an account on behalf of another person without authority, or maintain multiple accounts to evade restrictions.
4. Responsibilities of Specialists and Clients
Specialists agree to accurately describe their skills, experience, and services; to deliver work that conforms to the agreed scope, quality, and timeline; and to communicate professionally through the Platform. Clients agree to describe projects accurately and completely, to respond to proposals and deliverables in a timely manner, and to pay for work as agreed. Both parties agree to honor the terms of any contract they form on the Platform and to use the Platform's tools — proposals, contracts, milestones, and messaging — for engagements initiated here, rather than circumventing the Platform to avoid fees.
5. Payments, Escrow, and Fees
Payments for contracts are collected from the Client and held in escrow until the relevant work or milestone is delivered and approved, at which point funds are released to the Specialist. LaunchMarket charges a platform fee on completed transactions; the applicable fee is displayed before you confirm a transaction. Hourly contracts are billed against logged and approved time, and fixed-price contracts are billed per contract or per milestone. You are responsible for any taxes that apply to amounts you receive through the Platform. Except where required by law or expressly provided in these Terms, fees are non-refundable.
6. Disputes Between Users
If a disagreement arises about delivered work or payment, Clients and Specialists should first attempt to resolve it directly through the Platform's messaging tools. Either party may raise a dispute on an active contract, in which case the associated escrow funds are held until the dispute is resolved. LaunchMarket may, at its discretion, review the contract history, deliverables, and communications and decide whether escrowed funds are released, refunded, or split. Such decisions apply only to funds held in escrow and do not limit either party's legal rights against the other.
7. Reviews and Content Standards
After a contract concludes, both parties may leave a review. Reviews must reflect a genuine, first-hand experience and must not be manipulated, traded, or coerced. All content you post on the Platform — profiles, listings, job posts, proposals, messages, and reviews — must be accurate, lawful, and respectful. We may remove or hide content that is fraudulent, defamatory, harassing, obscene, infringing, or otherwise in breach of these Terms, and we may suspend accounts responsible for such content.
8. Prohibited Conduct
You agree not to: misrepresent your identity, qualifications, or the nature of your services; post false, misleading, or fraudulent listings or job posts; solicit or make payments outside the Platform for engagements initiated on it; harass, threaten, or discriminate against other users; upload malicious code or attempt to interfere with the Platform's operation; scrape, harvest, or misuse other users' data; infringe any third party's intellectual property or privacy rights; or use the Platform for any unlawful purpose. We may investigate suspected violations and take any action we deem appropriate, including removal of content and account suspension or termination.
9. Intellectual Property
Content you create and upload to the Platform remains yours. By posting it, you grant LaunchMarket a non-exclusive, worldwide, royalty-free license to host, display, and distribute that content as needed to operate and promote the Platform. Unless a contract between a Client and a Specialist provides otherwise, intellectual property in delivered work transfers to the Client upon full payment. The Platform itself — including its software, design, branding, and content we create — is owned by LaunchMarket or its licensors, and you may not copy, modify, or redistribute it without our prior written permission.
10. Termination and Suspension
You may stop using the Platform and close your account at any time. We may suspend or terminate your account, restrict access to features, or remove content if we reasonably believe you have violated these Terms, created risk or legal exposure for us or other users, or if required by law. Where practicable, we will give you notice and an opportunity to remedy the issue. Provisions of these Terms that by their nature should survive termination — including ownership, disclaimers, limitations of liability, and indemnification — will survive.
11. Disclaimers and Limitation of Liability
The Platform is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, LaunchMarket disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, and does not warrant that the Platform will be uninterrupted, secure, or error-free. To the fullest extent permitted by law, LaunchMarket's aggregate liability arising out of or relating to the Platform is limited to the greater of the fees you paid to LaunchMarket in the twelve months preceding the claim or one hundred US dollars, and LaunchMarket will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill.
12. Indemnification
You agree to indemnify and hold harmless LaunchMarket and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Platform, your content, your breach of these Terms, or your violation of any law or the rights of a third party, including disputes between you and other users.
13. Governing Law
These Terms are governed by the laws of the jurisdiction in which LaunchMarket is established, without regard to conflict-of-law principles. Any dispute arising out of these Terms or your use of the Platform that cannot be resolved informally shall be brought exclusively in the courts of that jurisdiction, and you consent to their jurisdiction, except where applicable consumer law grants you the right to bring proceedings in your place of residence.
14. Changes to These Terms
We may update these Terms from time to time to reflect changes to the Platform, our business, or applicable law. If we make material changes, we will provide notice through the Platform or by other reasonable means before the changes take effect. Your continued use of the Platform after the effective date of the revised Terms constitutes acceptance of them. If you do not agree to the revised Terms, you must stop using the Platform.
